When making an acquisition, what is on your due diligence checklist? Does someone have a due diligence checklist that they would be willing to share? Does a checklist vary by size/industry of acquisition? Also, after the acquisition, do you continue to monitor KPIs from the checklist or other factors?

Lists are great to have as a reference point. However, I try to look at the acquisition, depending on whether I am on the buy or sell side, from the perspective of what is the value of the enterprise and what variables can impact that value in the future. From that perspective, I look at everything from internal and external forces that could impact that value and try to disclose or get disclosures on those variables. Frequently, it is the variables that you don't anticipate that come back to haunt the transaction.
You also should touch base with your law firm because there are things they may want or need. They will have their own list, which you don't have to use, but you can save time by making sure you know what they need up front.
