Does anyone have experience in working with outside vendors on receiving fairness opinions on agreements between 2 parties, that in reality are sister subsidiaries, as a result of an acquisition?

I have experience in such a situation, but my firm was providing the fairness opinion, not receiving it. And I've done some work in connection with the position of the Delaware Chancery Court on closley related issues.

I used to handle all M&A matters for a multi-national firm. We engaged, through our general counsel, with whom I had a daily working relationship including a lit settlement group, expert outside counsel to address such matters.
Our conclusion was that some counsel were "out there every day" whereas we were only engaged in the event of a transaction. As a consequence, we assumed we would be outmanned.
