I'm expecting some employees to exercise options and I googled to get a stock option exercise template and this form came up. I don't recall former employers issuing this form to me when I exercised options, however, it seems to have been in play for quite some time. I was wondering how folks are handling and, if needed, if it is also required for exercises related to 83b elections. Thanks in advance.

Hi there, not sure if you received an answer to this yet, but a 3921 is required only for exercising of Incentive Stock Options (not qualified stock options). Yes, you would also want to file it for ISOs with an 83b election. If you are working with a provider for software or services related to administration of your plan, you may want to check to see if they offer to help with 3921s.
We distributed the 3921's to the employees (done for us), however, it is a bit unclear if i also need to file 3922's with the IRS.
